Destination Maternity Corporation, the US based retailer of designer maternity wear, has elected Ms. Mellisa Payner-Gregor, the CEO of Bluely, to its Board of Directors. The news comes in wake of its foray into the Indian markets with a deal with Mahindra Retail, the retail chain floated by the automobile giant Mahindra$Mahindra.

It will be working with the Mahindra Group under the labels Motherhood Maternity, Destination Maternity and A Pea in the Pod. These brands from destination maternity will be available at Mahindra Retail’s new store Mom & Me, the one stop destination for the things and merchandise required by the expecting mothers and the toddler products.

The products will include maternity wear, infants and kids’ fashion, educational & activity toys and games, wellness products for mothers and babies, nursery furniture and furnishings, travel and safety products and much more.

It is a multi-year contract wherein Mahindra Retail will be selling the products of Destination Maternity through its franchise store Mom&Me by purchasing exclusive maternity and nursing merchandise from the Maternity Destination or the suppliers designated by it.

Ed Krell, Chief Executive Officer of Destination Maternity, commented, "We are very excited to announce our expansion into India. Through our partnership with Mahindra Retail, with their breadth of experience and strong reputation in India, we will be able to bring our brands into this rapidly emerging market. We are thrilled to introduce our brands to the growing population of new moms-to-be in India who love to shop and have an ever increasing need for high-quality, fashionable maternity apparel.”

K. Venkataraman, Managing Director of Mahindra Retail is equally excited about the deal. The Mom&Me stores range from 5000 to 12000 sq feet in size and currently operational in six cities in India. Mahindra Group plans to extend its market share by setting more and more franchise stores of it across the country.

According to way2franchise.com, there are 500+ franchise brands in India and the retail and apparel segmenthas over 45 players. The deal between Mahindra Retail and Destination Maternity will further increase the competition in the market.

Destination Maternity has stores all over the United States and is also planning an entry in the markets of the Middle-East, all through retail franchise.

Re: The composition of the Board saga continues .... Re: The composition of the Board saga continues .... -
Hi Folks, You folks have been of much help, both in your specific answers and by offering an opportunity to "think out loud". Following on from our earlier discussion, the planned number of minority shareholders is now in the 5 - 10 range who together ought not to share more than 25% of the equity of this agri-business. Having said that, my questions are: 1) How to structure the board so as to minimize the 'miserable/hinder' effect outlined by Garth - what kinds of expertise might I be seeking? 2) Thoughts on coralling them? 3) Any other thoughts on things my client should be looking out for .... I look forward to the opportunity to 'pay back' this forum for the help I've received. Thank you. Terry
The primary effort of "managing of minority stockholders" should be accomplished before one has them. By that I mean: 1. how the deal is structured that makes them stockholders. 2. How Selective you are about who invests. Not all capital is the same. Be sure you know what you are getting. Just because they are shareholders - doesn't mean they should be on the board of directors. In fact, you may want to structure the deal so they have limited "voting rights". Robertj

Re: Non-profit Organizations Re: Non-profit Organizations - I helped set up a non-profit charity for helping stray pets and people who had lost their pets in our local area last year. There are so many things I learned from the experience, I'm not sure where to start. First of all, I hold to the teaching if you can dream it, you can do it! In one way, it was incredibly easy to find support for something we were so passionate about. On the other hand, our passion needed to be tampered with reason so that we didn't burn ourselves out. It is so important to set things in order as soon as possible. There should be an official board of directors and at least general protocols set in place for key services. Expectations among board members should be clear. Keep non-urgent decision making to during meetings only! Otherwise, you will be working 24 hours a day! And make sure you use your volunteers as soon as you get clarity on your first steps. Clarify your message as a whole before you take it to the public. Otherwise, you will create confusion on what you do or don't do. It was really helpful to connect with other organizations in the area who had a similar mission. In our case, we met with the SPCA so we could avoid doubling up on services and instead fill in the gaps of what they were unable to provide in our area. Fundraising IS important, but make sure you are keeping up with the services you offer. The mission of your organization is the priority. In a nutshell, setting up a charity was a great experience, but I certainly didn't need to work as hard as I did. I plan on doing it again in about 2 years where I will set up a charity to help women in both Canada and Third World countries.
