Follow up to Rock Music Franchising Decision- Significant Reward in Favor of Franchisor

In a previous article on the FranchiseKnowHow website, Craig Tractenberg of Nixon Peabody reported on a favorable ruling on behalf of the NP client, Paul Green School of Rock Music Franchising (PGSORM).

To Summarize:

The case involved disputes between School of Rock and two of its franchisees-Smith and the Giammarrusco's, who collectively acted to repudiate their franchise agreements to start a competitor, Rock Nation (the "Smith" and "Rock Nation" cases respectively). The cases had similar facts. Each involved California franchisees, breach of the respective franchise agreements, and similar claims including non-payment of royalties to School of Rock. Both cases involved franchise agreements that contained arbitration and non-compete clauses. The fundamental difference between them is that the franchise agreement in Smith provided for arbitration in Pennsylvania pursuant to Pennsylvania law, while the franchise agreement of the Giammarrusco's in Rock Nation required arbitration in California under California law.

Moreover the defendants used typosquatting against the competitive Rock Nation site. Typically, a typosquatter will register several possible input errors for a domain or brand name Web to generate accidental traffic to these sites. The ruling was in favor of PGSORM.

The Award:

Rock Skool LLC, Rock Nation LLC, John Giammarrusco, Cindy Giammarrusco, Binh Hoang, and each of them, are required to pay PGSORM the sum of $100,000.00 in compensatory damages resulting from their having engaged in unfair competition against PGSORM. In addition, attorney's fees in the sum of $183,550.50 were awarded to PGSORM against Rock Skool, Inc., John Giammarrusco, Cindy Giammarrusco, and each of them, jointly and severally, pursuant to the terms of the Franchise Agreement and the Guaranty, Indemnification and Acknowledgement Agreement. Further, out of pocket expenses incurred in connection with this Arbitration in the sum of $9,871.76 were awarded to PGSORM against Rock Skool, Inc., John Giammarrusco, Cindy Giammarrusco, and each of them, jointly and severally, pursuant to the terms of the Franchise Agreement and the Guaranty, Indemnification and Acknowledgement Agreement. The award was ordered by Alan P. Ribakoff, Arbitrator dated October 13, 2010.

Re: Franchise Surveys Re: Franchise Surveys - Good topic, thanks Agree with John
Another good tool to researching a franchise is to speak with their existing franchisees. However, part of banding to to have confidence in your franchise brand so I suggest you may not get the answers you are really looking for. Further to this is reading the documents is one aspect as the Rosy pitch is offered by the Franchisor Let me share a recent pro-bono clients experience where reading and talking led to an underlying problem, a lack of business sense and preparation. A wealthy Singaporean Lady whose family members just wanted jobs, good or bad so their views to her were also slanted in their favor. Unless it is a household name, you prepare and understand the concepts, agreement and operations of the franchise. You are taking on too much risk. Locally, let get a couple of numbers. Best Western Hotel, an international brand sells for RM400,000 (plus $135,000) and they must approve the location to protect their brand. She was about to take care of her family members (for how long was the unknown) and put out RM600,00 ($200,000) to buy a new franchise of 4 restaurants (2 located in Malls and 2 in lessor locations, 2 big and 2 small) Now as a former Real Estate Broker in another life, I rank restaurant location right up there with buying properties. An to shorten this, some highlights Highlights Franchisor was selling his personal band name and reputation, not the Real value of the Restaurant brand Selling 4 locations help diversify the risk with the better ones feeding the less successful locations, real return on investment much lower, perhaps 50% of estimated returns Had client do their own demographics for the proposed locations, sit, watch, and count the crowd, test the food, where the masses were going to eat, etc Franchisee had to pick the menu for each location and of course buy the food at no loss to the Franchisor, so 4 locations, 4 menus, 4 different risks and and result NO SALE
Re: Subject line Etiquette Re: Subject line Etiquette -
Another email rant: Is there some place on the internet that outlines proper "Subject line" headings? There mus be a system out there that people use to be more efficient email senders. Not everything that comes into my mail box requires my immediate attention. I would love to educate myself and the people who send me emails on proper subject lines. Maybe something like: "Urgent Review: <<Title of document>>" "Decision Required: "<<Subject matter>>" just something for me to quickly scan the subject lines and decide which ones need my immediate attention. Anyone know of such email standards that exist out there?[/quote:b50c4a20] The only messages I get that say Urgent or Decision Required etc are spam. I tell people to put something relevant to their business with me in the subject line - this is especially important for the people who fall into my junk mail. Chris

Re: Re Franchise etc Re: Re Franchise etc -
Can you see a shift of various types of franchises? What I am thinking about is that today it is more difficult to create franchises, that has great appeal. More and more people want to have their business, but no interference of someone else.[/quote:e0j0nu4t] Not sure what you mean exactly but it is certain that more and more people want to have their own business but not more and more people know what they really want to do, or how to do it. And that's what franchising is all about. Franchising is not for an entrepreneur. An entrepreneur will do his own thing. People who buy franchises want a turn key business, with a proven model. Franchising in the US had never been that good. I don't have the exact numbers in mind but I know for sure that franchising is growing more and more as people are getting more and more aware of this business model.
