Developing your organisational structure is best done by drawing an organogram that can help you visualize your staffing structure.
An organogram is a visual presentation of the people, positions and responsibilities in the business that also indicate who reports to whom. You will need to decide who will make up your management team and out of those individuals, taking into account the shareholders, who will be executive directors and non-executive directors.
Once you have developed an organizational structure, you need to develop job specifications for each individual.Your people should know, and so should you, what they will be responsible for.It is crucial for your staff's motivation and job satisfaction to be clear on their deliverables.
You should also be very clear about the qualifications and experience you require from certain staff.Some will require high levels of qualification like finance, marketing and legal jobs.For others, it may be enough for theemployees to have the necessary work experience to do the job.
What will you pay?
Now you must determinethe salaries you will pay for the different job specifications you need to fill in your organizational structure.Check on market-relatedrates and the affordability for your business.
Having said all this, let's discuss why it's important for all these actions to be implemented.

You should use the same color the forum have and a similar structure. By the structure I think you should consider the Box structure like on the forum, it looks more organized. and can be very easily accomplished with some html, css and php. A good example of structure is the CNN website.
For instance the Random Entrepreneur box on the home page disconnects you from the rest of the site. It's too tall, that content could easily fit on a 280x300 side box (just an example).
The content background should be white or a lighter color.
If not possible, the page "/EvanAbout.html" has a much better layout and colors combination.
BTW, I just found a couple glitches that show on firefox (19% of internet users):
1)the homepage links when roll over go completely blue, I would set the "a" color on rollover to #ffffff to fix that.
2)the forum the side box TDs are using the HTML property "background", making the background repeat itself. you should probably use the CSS bg property with the no-repeat attribute.
Funding Contract Templates?

Hope you folks can help me here. I started up a business which is developing several very useful and desirable products. I have invested a good deal of my own time and money and now need some modest funding to really get things going.
I have a number of people who are very open to making an investment in my business but they are waiting for a proposal of what I can offer. I have a business plan prepared but I need some assistance to help me to structure to some type of offering. I guess I'm looking for some type of private placement memorandum structure, except that I don't want to issue stock.
I was thinking of offering very attractive returns on a loan plus a provision for a revenue sharing note. Or possibly even revenue sharing preferred shares as mentioned in an article on this site.
I'm not an attorney and I really can't afford to hire one for this purpose. So I was hoping there might be some resources available to help me to structure something which is both fair to the investor and my company and which properly documents the terms and conditions.
Really enjoy reading the posts and articles here and appreciate any assistance which can be provided.

- Many sites due to site structure might offer duplicate content, and is not in and of itself bad or wrong to do.

- Hi Russell - In my days in the financing world we looked at a number of acquisitions for companies. For established companies we generally looked at 1 times revenue while for growth companies we took a 5 year EBITDA net present value.
Your friend could structure the deal so that there is a deposit and a payment plan. There is no "typical" structure, however. The sooner your friend has the money in his pocket the better. The company might go under, the new owner might not make the payments, and the future value of a dollar is always less than the current value.
Your friend might also consider a management contract where he stays in the business for a period (typically 1-12 months) to help transition it to the new owner. Since it's a pretty small company and the prospective owners have experience in the industry it shouldn't take too long to transition over.
If he's worried about competition he might want to consider asking for a non-refundable deposit up front to ensure that they are serious.

The primary effort of "managing of minority stockholders" should be accomplished before one has them. By that I mean:
1. how the deal is structured that makes them stockholders.
2. How Selective you are about who invests. Not all capital is the same. Be sure you know what you are getting.
Just because they are shareholders - doesn't mean they should be on the board of directors. In fact, you may want to structure the deal so they have limited "voting rights".
